By using this website, registering for a workshop, purchasing a MOTIVE digital product, booking a consultation, or engaging MOTIVE for professional services, you agree to these terms.
Educational resources and Business Growth Check-up
MOTIVE resources provide business education and guidance. Results are not guaranteed, and the Business Growth Check-up is a starting point rather than a final diagnosis.
Business Growth Consulting
MOTIVE provides business consulting, strategy, and advisory services designed to help clients identify challenges, opportunities, and practical actions for improving their businesses.
Recommendations are based on information provided by the client, observations made during the engagement, and MOTIVE’s professional judgment. Clients remain responsible for decisions made regarding their businesses and for implementing any recommendations provided.
MOTIVE does not guarantee any specific level of revenue, profitability, customer acquisition, operational improvement, or other business result arising from consulting services. Clients are responsible for providing accurate and reasonably complete information relevant to the engagement.
Systems & Implementation Services
MOTIVE provides systems and implementation services designed to improve business processes, organization, tracking, customer management, workflow, and other operational needs. Depending on the client’s requirements, solutions may include process design, workflow development, dashboards, spreadsheets, automation, integrations, lightweight custom applications, or other appropriate tools.
The specific scope, deliverables, fees, payment schedule, and timeline for each project will be established in a proposal, quotation, statement of work, or service agreement.
Client responsibilities
Clients are responsible for providing the information, feedback, approvals, account access, and other resources reasonably required for MOTIVE to complete the agreed work. Project timelines may be extended where required information, access, approvals, or feedback are delayed.
MOTIVE is not responsible for delays or limitations caused by inaccurate information supplied by the client or by circumstances outside MOTIVE’s reasonable control.
Scope changes
Requests that materially change or expand the agreed scope may require a revised quotation, additional payment, and/or an adjusted project timeline. MOTIVE will communicate material scope changes before undertaking additional chargeable work.
Third-party services
Payments, event registration, hosting, file delivery, integrations, and systems may use or rely on third-party platforms, software, APIs, or services. Their terms may also apply. MOTIVE does not control these services and cannot guarantee their continued availability, pricing, functionality, security policies, or compatibility.
Unless expressly included in the project agreement, clients are responsible for ongoing third-party subscription, hosting, licensing, or usage fees associated with their systems.
Client data and confidentiality
Information and data supplied by clients will be used only as reasonably necessary to provide the agreed services. Clients remain responsible for ensuring they have the appropriate authority or consent to provide MOTIVE with any personal, customer, employee, or other third-party information used during a project.
MOTIVE will take reasonable measures to protect confidential information received during an engagement and will not intentionally disclose confidential client information except where required to provide the service, authorized by the client, or required by law. For systems involving personal or sensitive information, additional data-handling requirements may be included in the applicable service agreement.
Intellectual property and client deliverables
Clients retain ownership of the business information, content, records, and data they provide to MOTIVE.
Upon full payment of all amounts due for a Systems & Implementation project, the client will receive the rights to use the custom deliverables created specifically for that client’s business as described in the applicable project agreement.
MOTIVE retains ownership of its pre-existing intellectual property, methodologies, frameworks, templates, processes, know-how, reusable code, system components, workshop materials, written content, website content, and other materials developed independently of a client project or designed for general reuse.
Where MOTIVE intellectual property is incorporated into a client deliverable, the client is granted the rights reasonably necessary to use that material as part of the completed solution unless otherwise specified in the applicable agreement. Different ownership or licensing arrangements may be agreed in writing for individual projects.
Personal business use of purchased materials
Purchased digital materials are licensed for use within the buyer’s own business. They may not be resold, copied for distribution, or shared publicly without written permission.
System maintenance and support
Unless ongoing support or maintenance is specifically included in the applicable service agreement, completion and handover of a system does not include indefinite maintenance, technical support, updates, or future modifications.
Any post-project support period included with the service will be specified in the applicable agreement. Additional maintenance, modifications, training, or support requested after that period may be provided at an additional cost.
Limitation of results
MOTIVE will provide services with reasonable care and professional judgment. Business and technology outcomes depend on factors outside MOTIVE’s control, including client implementation, staff adoption, third-party services, market conditions, and changes within the client’s business. MOTIVE therefore does not guarantee uninterrupted operation of third-party platforms or any particular commercial outcome from the use of its recommendations or systems.
Project-specific agreements
These Terms provide the general conditions applicable to MOTIVE’s services. Individual consulting or Systems & Implementation engagements may also be governed by a proposal, quotation, statement of work, or service agreement. Where a project-specific written agreement contains terms that differ from these general Terms, the project-specific agreement will govern that engagement to the extent of the difference.
